Business Organizations Code § 21.705","heading":"ADOPTION OF AMENDMENT FOR CLOSE CORPORATION STATUS.","body":"(a) An ordinary corporation may become a close corporation by amending its certificate of formation in accordance with Chapter 3 to conform with Section 3.008.\n(b) An amendment adopting close corporation status must be approved by the affirmative vote of the holders of all of the outstanding shares of each class established by the close corporation, regardless of whether a class is entitled to vote on the amendment by the certificate of formation of the ordinary corporation.\nActs 2003, 78th Leg., ch. 182, Sec. 1, eff.
