Business Organizations Code § 22.360","heading":"FAILURE TO FILE REPORT.","body":"(a) A domestic or foreign corporation that fails to file a report under Sections 22.357 and 22.359 when the report is due forfeits the corporation's right to conduct affairs in this state.\n(b) The forfeiture takes effect, without judicial action, when the secretary of state enters on the record of the corporation kept in the office of the secretary of state:\n(1) the words \"right to conduct affairs forfeited\"; and\n(2) the date of forfeiture.\nActs 2003, 78th Leg., ch. 182, Sec. 1, eff.
