Transportation Code § 431.031","heading":"QUORUM.","body":"(a) A quorum of a board is the lesser of:\n(1) a majority of:\n(A) the membership of the board under the bylaws; or\n(B) if the bylaws do not provide the membership of the board, the membership of the board under the articles of incorporation; or\n(2) the number, which must be more than two, set as the quorum by the articles of incorporation or the bylaws.\n(b) An act of the majority of the directors present at a meeting at which there is a quorum is an act of the board, unless the act of a greater number is required by the articles of incorporation or the bylaws.\nActs 1995, 74th Leg., ch. 165, Sec. 1, eff.
