{"data":{"id":"us-ut/utah-code-16-10a-128","jurisdiction":"us-ut","citation":"Utah Code § 16-10a-128","heading":"Certificates issued by the division.","body":"(1) Anyone may apply to the division for a certificate of existence for a domestic corporation, a certificate of authorization for a foreign corporation, or a certificate that sets forth any facts of record in the office of the division.\n(2) A certificate of existence or authorization sets forth:\n(a) the domestic corporation's corporate name or the foreign corporation's corporate name registered in this state;\n(b) that:\n(i) the domestic corporation is duly incorporated under the law of this state and the date of its incorporation; or\n(ii) the foreign corporation is authorized to transact business in this state;\n(c) that all fees, taxes, and penalties owed to this state have been paid, if:\n(i) payment is reflected in the records of the division; and\n(ii) nonpayment affects the existence or authorization of the domestic or foreign corporation;\n(d) that its most recent annual report required by Section 16-10a-1607 has been filed by the division;\n(e) that articles of dissolution have not been filed; and\n(f) other facts of record in the office of the division that may be requested by the applicant.\n(3) Subject to any qualification stated in the certificate, a certificate issued by the division may be relied upon as conclusive evidence of the facts set forth in the certificate.","path":["Title 16 Corporations","Chapter 16-10a Utah Revised Business Corporation Act","Part 16-10a-1 General Provisions"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter10a/16-10a-S128.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"3e9c76af7d35eb22ba738a65eaffda1aedba6617bae38331792ba8dcb6b57bba","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-10a-127","next":"us-ut/utah-code-16-10a-129"},"notice":"GroundRules: Original legal text.
