{"data":{"id":"us-ut/utah-code-16-10a-809","jurisdiction":"us-ut","citation":"Utah Code § 16-10a-809","heading":"Removal of directors by judicial proceeding.","body":"(1) A court with jurisdiction under Title 78A, Judiciary and Judicial Administration, may remove a director in a proceeding commenced by the corporation or by the corporation's shareholders holding at least 10% of the outstanding shares of any class if the court finds that:\n(a) the director engaged in fraudulent or dishonest conduct or gross abuse of authority or discretion with respect to the corporation; and\n(b) removal is in the best interest of the corporation.\n(2) The court that removes a director may bar the director from reelection for a period prescribed by the court.\n(3) If shareholders commence a proceeding under Subsection (1), they shall make the corporation a party defendant.\n(4) A director who is removed pursuant to this section may deliver to the division for filing a statement to that effect pursuant to Section 16-10a-1608.","path":["Title 16 Corporations","Chapter 16-10a Utah Revised Business Corporation Act","Part 16-10a-8 Directors and Officers"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter10a/16-10a-S809.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"bbbb39ed6668a5d8f95b1d1aebf3a159005422998dfd23303b5869e9c40796b3","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-10a-808","next":"us-ut/utah-code-16-10a-810"},"notice":"GroundRules: Original legal text.
