{"data":{"id":"us-ut/utah-code-16-16-302","jurisdiction":"us-ut","citation":"Utah Code § 16-16-302","heading":"Formation of limited cooperative association -- Articles of organization.","body":"(1) To form a limited cooperative association, an organizer of the association shall deliver articles of organization to the division for filing. The articles shall state:\n(a) the name of the association;\n(b) the purposes for which the association is formed;\n(c) the street address and, if different, mailing address of the association's initial designated office and the name of the association's initial agent for service of process at the designated office;\n(d) the street address and, if different, mailing address of the initial principal office;\n(e) the name and street address and, if different, mailing address of each organizer; and\n(f) the term for which the association is to exist if other than perpetual.\n(2) Subject to Subsection 16-16-113(1), articles of organization may contain any other provisions in addition to those required by Subsection (1).\n(3) A limited cooperative association is formed after articles of organization that substantially comply with Subsection (1) are delivered to the division, are filed, and become effective under Subsection 16-16-203(3).\n(4) If articles of organization filed by the division state a delayed effective date, a limited cooperative association is not formed if, before the articles take effect, an organizer signs and delivers to the division for filing a statement of cancellation.","path":["Title 16 Corporations","Chapter 16-16 Uniform Limited Cooperative Association Act","Part 16-16-3 Formation and Initial Articles of Organization of Limited Cooperative Association"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter16/16-16-S302.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"0a32f8c9e6753334282e4960e6fb6f16f1c54f99d4d1283bb5bac4f0a9ed29de","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-16-301","next":"us-ut/utah-code-16-16-303"},"notice":"GroundRules: Original legal text.
