{"data":{"id":"us-ut/utah-code-16-16-809","jurisdiction":"us-ut","citation":"Utah Code § 16-16-809","heading":"Vacancy on board.","body":"(1) Unless the organic rules otherwise provide, a vacancy on the board of directors shall be filled:\n(a) within a reasonable time by majority vote of the remaining directors until the next annual members meeting or a special meeting of members called to fill the vacancy; and\n(b) for the unexpired term by members at the next annual members meeting or a special meeting of members called to fill the vacancy.\n(2) Unless the organic rules otherwise provide, if a vacating director was elected or appointed by a class of members or a district:\n(a) the new director shall be of that class or district; and\n(b) the selection of the director for the unexpired term shall be conducted in the same manner as would the selection for that position without a vacancy.\n(3) If a member appointed a vacating director, the organic rules may provide for that member to appoint a director to fill the vacancy.","path":["Title 16 Corporations","Chapter 16-16 Uniform Limited Cooperative Association Act","Part 16-16-8 Directors and Officers"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter16/16-16-S809.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"d2244487f1c3f1bc328b26174c9f8e3a5095fba1583091efe39241d9d049f9dc","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-16-808","next":"us-ut/utah-code-16-16-810"},"notice":"GroundRules: Original legal text.
