{"data":{"id":"us-ut/utah-code-16-19-202","jurisdiction":"us-ut","citation":"Utah Code § 16-19-202","heading":"Amendment of restatement of certificate of limited partnership.","body":"(1) A certificate of limited partnership may be amended or restated at any time.\n(2) To amend a limited partnership's certificate of limited partnership, a limited partnership must deliver to the division for filing an amendment stating:\n(a) the name of the limited partnership;\n(b) the date of filing of the limited partnership's initial certificate of limited partnership; and\n(c) the changes the amendment makes to the certificate of limited partnership as most recently amended or restated.\n(3) To restate a limited partnership's certificate of limited partnership, a limited partnership must deliver to the division for filing a restatement designated as such in the restatement's heading.\n(4) A limited partnership shall promptly deliver to the division for filing an amendment to a certificate of limited partnership to reflect:\n(a) the admission of a new general partner;\n(b) the dissociation of a person as a general partner; or\n(c) the appointment of a person to wind up the limited partnership's activities and affairs under Subsection 16-19-802(3) or (4).\n(5) If a general partner knows that any information in a filed certificate of limited partnership was inaccurate when the certificate of limited partnership was filed or has become inaccurate due to changed circumstances, the general partner shall promptly:\n(a) cause the certificate of limited partnership to be amended; or\n(b) if appropriate, deliver to the division for filing a statement of change under Section 16-1a-407 or a statement of correction under Section 16-1a-206.","path":["Title 16 Business Entities","Chapter 16-19 Utah Uniform Limited Partnership Act","Part 16-19-2 Formation -- Certificate Of Limited Partnership And Other Filings"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter19/16-19-S202.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-10-08T05:55:33Z","sha256":"0d5d14d34f829445e74e3954c4f577463ed09751165d4d4adb42ca9c9de0e602","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-19-201","next":"us-ut/utah-code-16-19-301"},"notice":"GroundRules: Original legal text.
