{"data":{"id":"us-ut/utah-code-16-1a-409","jurisdiction":"us-ut","citation":"Utah Code § 16-1a-409","heading":"Change of name, address, type of entity, or jurisdiction of formation by a commercial registered agent.","body":"(1) If a commercial registered agent changes the commercial registered agent's name, address as listed under Section 16-1a-405, type of entity, or jurisdiction of formation, the commercial registered agent shall deliver to the division for filing a statement of change signed by the commercial registered agent that states:\n(a) the name of the commercial registered agent the commercial registered agent provided to the division in accordance with Section 16-1a-405;\n(b) if the commercial registered agent changes the commercial registered agent's name, the new name;\n(c) if the commercial registered agent changes the commercial registered agent's address, the new address; and\n(d) if the commercial registered agent is an entity:\n(i) if the commercial registered agent changes the commercial registered entity's type of entity, the new type of entity; and\n(ii) if the commercial registered agent changes the commercial registered entity's jurisdiction of formation, the new jurisdiction of formation.\n(2) The filing of a statement of change described in Subsection (1) by the division changes the information regarding the commercial registered agent with respect to each entity the commercial registered agent represents.\n(3) A commercial registered agent shall promptly furnish to each entity that the commercial registered agent represents a notice of the statement of change that describes the changes made in the statement of change.\n(4)\n(a) If a commercial registered agent changes the commercial registered agent's address without delivering for filing a statement of change as required by this section, the division may cancel the listing of the agent under Section 16-1a-405.\n(b) If the division cancels the listing of an agent as described in this Subsection (4), the division's cancellation has the same effect as a termination of a listing of a commercial registered agent under Section 16-1a-406.\n(c) After canceling the listing of an commercial registered agent, the division shall serve notice in a record on:\n(i)\n(A) each entity that the commercial registered agent represents, stating that the commercial registered agent is no longer the registered agent for the entity; and\n(B) until the entity designates a new commercial registered agent, a person may make service of process on the entity; and\n(ii) the commercial registered agent, stating that the division has canceled the listing of the commercial registered agent in accordance with this section.","path":["Title 16 Business Entities","Chapter 16-1a Provisions Applicable To All Business Entities","Part 16-1a-4 Registered Agent Of An Entity"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter1a/16-1a-S409.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-10-08T05:55:33Z","sha256":"2eace5a0e91c9de29df5a2a2ca298b511cbfffe0f5121941960e9e980fbf897b","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-1a-408","next":"us-ut/utah-code-16-1a-410"},"notice":"GroundRules: Original legal text.
