{"data":{"id":"us-ut/utah-code-16-1a-410","jurisdiction":"us-ut","citation":"Utah Code § 16-1a-410","heading":"Resignation of a registered agent.","body":"(1) A registered agent may resign as the registered agent for a represented entity by delivering to the division for filing a statement of resignation signed by the registered agent that states:\n(a) the name of the represented entity;\n(b) the name of the registered agent;\n(c) that the registered agent resigned from serving as the registered agent for the represented entity; and\n(d) the address of the represented entity to which the agent will send the notice required by Subsection (3).\n(2) A statement of resignation takes effect on the earlier of:\n(a) 12:01 a.m. on the 31st day after the day on which the division files the statement of resignation; or\n(b) the represented entity for which the statement of resignation applies designates a new registered agent.\n(3) A registered agent shall promptly furnish to the represented entity notice in a record of the date on which the division files the statement of resignation.\n(4) When a statement of resignation takes effect, the person that resigned ceases to have responsibility under this chapter for any matter presented to the person for the represented entity.\n(5) Notwithstanding Subsection (4), a statement of resignation does not affect any contractual rights:\n(a) a represented entity has against the registered agent; or\n(b) the registered agent has against the represented entity.\n(6) A registered agent may resign in accordance with this section regardless of whether the represented entity is current with the division.","path":["Title 16 Business Entities","Chapter 16-1a Provisions Applicable To All Business Entities","Part 16-1a-4 Registered Agent Of An Entity"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter1a/16-1a-S410.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-10-08T05:55:33Z","sha256":"82fb379214d3b48e6e7c802064994cc55863940ab0e7a1ba7ff3120d2ba95a02","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-1a-409","next":"us-ut/utah-code-16-1a-411"},"notice":"GroundRules: Original legal text.
