{"data":{"id":"us-ut/utah-code-16-20-904","jurisdiction":"us-ut","citation":"Utah Code § 16-20-904","heading":"Name limitations.","body":"(1) The name of a domestic professional services company and of a foreign professional services company authorized to transact business in this state, in addition to complying with Sections 16-1a-302 and 16-1a-507:\n(a) may not contain language stating or implying that the domestic professional services company or foreign professional services company is formed for a purpose other than that authorized by:\n(i) the domestic professional services company's or foreign professional services company's certificate of organization; or\n(ii) Section 16-20-906;\n(b) must conform with any rule made by the regulating board having jurisdiction over a professional service described in the professional services company's certificate of organization; and\n(c) in lieu of the requirement of Subsection 16-1a-303(5), must contain the words \"professional limited liability company\" or the abbreviations \"P.L.L.C.\" or \"PLLC\" in:\n(i) its certificate of organization; and\n(ii) a report or document filed with the division.\n(2) Notwithstanding Subsection (1)(c), a professional services company may hold the professional service company out to the public under a name that does not contain the words \"professional limited liability company\" or the abbreviations \"P.L.L.C.\" or \"PLLC\" if that name complies with Subsection 16-1a-303(5).\n(3) Sections 16-1a-302 and 16-1a-507 do not prevent the use of a name otherwise prohibited by those sections if the name is:\n(a) the personal name of an individual member or individual former member of the professional services company; or\n(b) the name of an individual who was associated with a predecessor of the professional services company.","path":["Title 16 Business Entities","Chapter 16-20 Utah Revised Uniform Limited Liability Company Act","Part 16-20-9 Professional Services Companies"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter20/16-20-S904.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-10-08T05:55:33Z","sha256":"7bcab269aaf699bc5259522e0dc95f36c8d0bee56033329e4c37b979c418752a","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-20-903","next":"us-ut/utah-code-16-20-905"},"notice":"GroundRules: Original legal text.
