{"data":{"id":"us-ut/utah-code-16-4-312","jurisdiction":"us-ut","citation":"Utah Code § 16-4-312","heading":"Affidavit and posting of notice -- Evidence.","body":"(1) An affidavit made by the secretary of a corporation of the mailing of a notice required by this chapter is prima facie evidence of the existence and mailing of the notice.\n(2) The publication of a notice under this chapter may be proved by the affidavit of:\n(a) the printer foreman or principal clerk of the newspaper in which the notice was published; and\n(b) in accordance with Section 45-1-101, the website publisher or website publisher's designee charged with publishing the notice as required in Section 45-1-101.\n(3) The affidavit of the secretary of the corporation or the auctioneer responsible for selling shares is prima facie evidence of:\n(a) the time and place of sale;\n(b) the quantity and particular description of the shares sold;\n(c) to whom and for what price the shares were sold; and\n(d) the fact of the purchase money being paid.\n(4) The affidavits referenced in this section shall be filed in the corporation's office.\n(5) A copy of an affidavit referenced in this section is prima facie evidence of the facts contained in the affidavit if the affidavit is certified by the secretary.","path":["Title 16 Corporations","Chapter 16-4 Share Assessment Act","Part 16-4-3 Enforcement"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter4/16-4-S312.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"9201d5a4669d300348cb9edf97d2bec0fdbde1778560a39c1a2edd2467394a5c","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-4-311","next":"us-ut/utah-code-16-6a-101"},"notice":"GroundRules: Original legal text.
