{"data":{"id":"us-ut/utah-code-16-6a-1004","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-1004","heading":"Voting on amendments of articles of incorporation by voting groups.","body":"(1) Unless otherwise provided by this chapter or the articles of incorporation, if membership voting is otherwise required by this chapter, the members of a class who are entitled to vote are entitled to vote as a separate voting group on an amendment to the articles of incorporation if the amendment would:\n(a) affect the rights, privileges, preferences, restrictions, or conditions of that class as to voting, dissolution, redemption, or transfer of memberships in a manner different than the amendment would affect another class;\n(b) change the rights, privileges, preferences, restrictions, or conditions of that class as to voting, dissolution, redemption, or transfer by changing the rights, privileges, preferences, restrictions, or conditions of another class;\n(c) increase or decrease the number of memberships authorized for that class;\n(d) increase the number of memberships authorized for another class;\n(e) effect an exchange, reclassification, or termination of the memberships of that class; or\n(f) authorize a new class of memberships.\n(2) If a class is to be divided into two or more classes as a result of an amendment to the articles of incorporation, the amendment shall be approved by the members of each class that would be created by the amendment.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-10 Amendment of Articles of Incorporation and Bylaws"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S1004.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"2af198b83b6318f066a3de7d26b0a3b4698f49f2dcf5ef8d52efbd25891be635","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-1003","next":"us-ut/utah-code-16-6a-1005"},"notice":"GroundRules: Original legal text.
