{"data":{"id":"us-ut/utah-code-16-6a-1105","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-1105","heading":"Merger with foreign nonprofit corporation.","body":"(1) One or more domestic nonprofit corporations may merge with one or more foreign nonprofit corporations if:\n(a) the merger is permitted by the law of the state or country under whose law each foreign nonprofit corporation is incorporated;\n(b) each foreign nonprofit corporation complies with the provisions of the law described in Subsection (1)(a) in effecting the merger;\n(c) if the foreign nonprofit corporation is the surviving nonprofit corporation of the merger, the foreign nonprofit corporation:\n(i) complies with Section 16-6a-1103; and\n(ii) in addition to the information required by Section 16-6a-1103, provides the address of its principal office; and\n(d) each domestic nonprofit corporation complies with:\n(i) the applicable provisions of Sections 16-6a-1101 and 16-6a-1102; and\n(ii) if it is the surviving nonprofit corporation of the merger, with Section 16-6a-1103.\n(2) Upon the merger taking effect, a surviving foreign nonprofit corporation of a merger may be served with process in any proceeding brought against it as provided in Section 16-17-301.\n(3) Service effected pursuant to Subsection (2) is perfected at the earliest of:\n(a) the date the foreign nonprofit corporation receives the process, notice, or demand;\n(b) the date shown on the return receipt, if signed on behalf of the foreign nonprofit corporation; or\n(c) five days after mailing.\n(4) Subsection (2) does not prescribe the only means, or necessarily the required means, of serving a surviving foreign nonprofit corporation of a merger.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-11 Merger"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S1105.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"530944be2cccb9d873274c1921d6fc99337ba107eaee500e2ca2062580864215","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-1104","next":"us-ut/utah-code-16-6a-1201"},"notice":"GroundRules: Original legal text.
