{"data":{"id":"us-ut/utah-code-16-6a-1405","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-1405","heading":"Effect of dissolution.","body":"(1) A dissolved nonprofit corporation continues its corporate existence but may not carry on any activities except as is appropriate to wind up and liquidate its affairs, including:\n(a) collecting its assets;\n(b) returning, transferring, or conveying assets held by the nonprofit corporation upon a condition requiring return, transfer, or conveyance, which condition occurs by reason of the dissolution, in accordance with the condition;\n(c) transferring, subject to any contractual or legal requirements, its assets as provided in or authorized by its articles of incorporation or bylaws;\n(d) discharging or making provision for discharging its liabilities; and\n(e) doing every other act necessary to wind up and liquidate its assets and affairs.\n(2) Dissolution of a nonprofit corporation does not:\n(a) transfer title to the nonprofit corporation's property including title to water rights, water conveyance facilities, or other assets of a nonprofit corporation organized to divert or distribute water to its members;\n(b) subject its directors or officers to standards of conduct different from those prescribed in this chapter;\n(c) change quorum or voting requirements for its board of directors or members;\n(d) change provisions for selection, resignation, or removal of its directors or officers, or both;\n(e) change provisions for amending its bylaws or its articles of incorporation;\n(f) prevent commencement of a proceeding by or against the nonprofit corporation in its corporate name; or\n(g) abate or suspend a proceeding pending by or against the nonprofit corporation on the effective date of dissolution.\n(3) Nothing in this section may be applied in a manner inconsistent with a court's power of judicial dissolution exercised in accordance with Section 16-6a-1414.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-14 Dissolution"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S1405.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"5a3c55010f55e9b2a79f00c775c53fc81cc561f5132182fcd7d28a6afe97b941","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-1404","next":"us-ut/utah-code-16-6a-1406"},"notice":"GroundRules: Original legal text.
