{"data":{"id":"us-ut/utah-code-16-6a-1417","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-1417","heading":"Decree of dissolution.","body":"(1) As used in this section:\n(a) \"Decree of dissolution\" includes an order of a court entered in a proceeding under Section 16-6a-1414 that directs that the affairs of a nonprofit corporation be wound up and liquidated under judicial supervision.\n(b) \"Judicial proceeding to dissolve the nonprofit corporation\" includes a proceeding brought under Section 16-6a-1414.\n(2) If after a hearing the court determines that one or more grounds for judicial dissolution described in Section 16-6a-1414 exist:\n(a) the court may enter a decree:\n(i) dissolving the nonprofit corporation; and\n(ii) specifying the effective date of the dissolution; and\n(b) the clerk of the court shall deliver a certified copy of the decree to the division which shall file it accordingly.\n(3) After entering the decree of dissolution, the court shall direct:\n(a) the winding up and liquidation of the nonprofit corporation's affairs in accordance with Section 16-6a-1405; and\n(b) the giving of notice to:\n(i)\n(A) the nonprofit corporation's registered agent; or\n(B) the division if it has no registered agent; and\n(ii) to claimants in accordance with Sections 16-6a-1406 and 16-6a-1407.\n(4) The court's order or decision may be appealed as in other civil proceedings.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-14 Dissolution"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S1417.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"ae5db4067b80c90a6a1c943b38dc030c105fe72d63a1e05868bb0a46eb90fa83","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-1416","next":"us-ut/utah-code-16-6a-1418"},"notice":"GroundRules: Original legal text.
