{"data":{"id":"us-ut/utah-code-16-6a-205","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-205","heading":"Organization of the nonprofit corporation.","body":"(1) After incorporation:\n(a) if initial directors are named in the articles of incorporation, the initial directors may hold an organizational meeting, at the call of a majority of the initial directors, to complete the organization of the nonprofit corporation by:\n(i) appointing officers;\n(ii) adopting bylaws, if desired; and\n(iii) carrying on any other business brought before the meeting; or\n(b) if initial directors are not named in the articles of incorporation, until directors are elected, the incorporators may hold an organizational meeting at the call of a majority of the incorporators to do whatever is necessary and proper to complete the organization of the nonprofit corporation, including:\n(i) the election of directors and officers;\n(ii) the appointment of members; and\n(iii) the adoption and amendment of bylaws.\n(2) Action required or permitted by this chapter to be taken by incorporators at an organizational meeting may be taken without a meeting if the action taken is evidenced by one or more written consents that:\n(a) describe the action taken; and\n(b) are signed by each incorporator.\n(3) An organizational meeting may be held in or out of this state.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-2 Incorporation"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S205.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"d994f75d745b6617a98dfacdaca031a56e70147a1a56831b2140f0106794dca2","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-204","next":"us-ut/utah-code-16-6a-206"},"notice":"GroundRules: Original legal text.
