{"data":{"id":"us-ut/utah-code-16-6a-610","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-610","heading":"Purchase of memberships.","body":"(1) Unless otherwise provided in the articles of incorporation or the bylaws, a nonprofit corporation may not purchase the membership of a member:\n(a) who resigns; or\n(b) whose membership is terminated.\n(2)\n(a) If so authorized, a nonprofit corporation may purchase the membership of a member who resigns or whose membership is terminated for the amount and pursuant to the conditions set forth in or authorized by:\n(i) its articles of incorporation or its bylaws; or\n(ii) agreement with the affected member.\n(b) A payment permitted under Subsection (2)(a) may not violate:\n(i) Section 16-6a-1301; or\n(ii) any other provision of this chapter.\n(3) A mutual benefit corporation may purchase a member's membership if, after the purchase is completed:\n(a) the mutual benefit corporation would be able to pay its debts as they become due in the usual course of its activities; and\n(b) the mutual benefit corporation's total assets would at least equal the sum of its total liabilities.\n(4) A water company may purchase the shares of a shareholder who is delinquent in payment of shareholder assessments, in accordance with Chapter 4, Share Assessment Act.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-6 Members"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S610.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"de8f34ac9e0da715fd9c2269540800e7e98e88336cab756dd8bf22c81244a252","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-609","next":"us-ut/utah-code-16-6a-611"},"notice":"GroundRules: Original legal text.
