{"data":{"id":"us-ut/utah-code-16-6a-711","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-711","heading":"Voting entitlement generally.","body":"(1) Unless otherwise provided by the bylaws:\n(a) only voting members may vote with respect to any matter required or permitted under this chapter to be submitted to a vote of the members;\n(b) all references in this chapter to votes of or voting by the members permit voting only by the voting members; and\n(c) voting members may vote with respect to all matters required or permitted under this chapter to be submitted to a vote of the members.\n(2) Unless otherwise provided by the bylaws, each member entitled to vote may cast:\n(a) one vote on each matter submitted to a vote of members for nonprofit corporations other than those in Subsection (2)(b); and\n(b) one vote for each share held by the member on each matter submitted for a vote of members if the nonprofit corporation issues shares to its members.\n(3) Unless otherwise provided by the bylaws, if a membership stands of record in the names of two or more persons, the membership's acts with respect to voting have the following effect:\n(a) If only one votes, the act binds all of the persons whose membership is jointly held.\n(b) If more than one votes, the vote is divided on a pro-rata basis.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-7 Member Meetings and Voting"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S711.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"d2504a1bf6b97e7b3b86f0d47da7655f108a1b929618b008c1bf989a8bd60239","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-710","next":"us-ut/utah-code-16-6a-712"},"notice":"GroundRules: Original legal text.
