{"data":{"id":"us-ut/utah-code-16-6a-714","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-714","heading":"Quorum and voting requirements for voting groups.","body":"(1)\n(a) Members entitled to vote as a separate voting group may take action on a matter at a meeting only if a quorum of those members exists with respect to that matter.\n(b) Unless otherwise provided in this chapter or in accordance with Section 16-6a-716, at a meeting of the voting group, the members of the voting group that are represented for any purpose at the meeting constitute a quorum of that voting group for action on a matter.\n(2) Once a member is represented for any purpose at a meeting, including the purpose of determining that a quorum exists, the member is considered present for quorum purposes:\n(a) for the remainder of the meeting; and\n(b) for any adjournment of that meeting, unless:\n(i) otherwise provided in the bylaws; or\n(ii) a new record date is or shall be set for that adjourned meeting.\n(3) Action on a matter other than the election of directors by a voting group is approved if:\n(a) a quorum exists;\n(b) the votes cast within the voting group favoring the action exceed the votes cast within the voting group opposing the action; and\n(c) a greater number of affirmative votes is not required by this chapter or the bylaws.\n(4) The election of directors is governed by Section 16-6a-717.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-7 Member Meetings and Voting"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S714.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"be0205dadb7a8c3209e16c37a55860c3fca043017da53861146f5992884da780","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-713","next":"us-ut/utah-code-16-6a-715"},"notice":"GroundRules: Original legal text.
