{"data":{"id":"us-ut/utah-code-16-6a-907","jurisdiction":"us-ut","citation":"Utah Code § 16-6a-907","heading":"Indemnification of officers, employees, fiduciaries, and agents.","body":"Unless a nonprofit corporation's articles of incorporation provide otherwise:\n(1) to the same extent as a director, an officer of the nonprofit corporation is entitled to:\n(a) mandatory indemnification under Section 16-6a-903; and\n(b) apply for court-ordered indemnification under Section 16-6a-905;\n(2) a nonprofit corporation may indemnify and advance expenses to an officer, employee, fiduciary, or agent of the nonprofit corporation to the same extent as to a director; and\n(3) a nonprofit corporation may indemnify and advance expenses to an officer, employee, fiduciary, or agent who is not a director to a greater extent if:\n(a) not inconsistent with public policy; and\n(b) provided for by:\n(i) its articles of incorporation or bylaws;\n(ii) general or specific action of its board of directors; or\n(iii) contract.","path":["Title 16 Corporations","Chapter 16-6a Utah Revised Nonprofit Corporation Act","Part 16-6a-9 Indemnification"],"source_url":"https://le.utah.gov/xcode/Title16/Chapter6a/16-6a-S907.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"7a809d6e46f52dcfdbdd0705266d8087cc9fb704a08d80e658ef819392d8b5cc","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-16-6a-906","next":"us-ut/utah-code-16-6a-908"},"notice":"GroundRules: Original legal text.
