{"data":{"id":"us-ut/utah-code-31a-5-409","jurisdiction":"us-ut","citation":"Utah Code § 31A-5-409","heading":"Selection and removal of directors and officers of mutuals.","body":"(1) The articles or bylaws of a mutual shall state:\n(a) the number of directors of the mutual including the directors that are:\n(i) appointed as public directors under this Subsection (1) and Subsection (2); or\n(ii) elected under Subsection (3);\n(b) the number of directors of the mutual that may be appointed as public directors; and\n(c) the plan that specifies the manner in which:\n(i) a public director is to be appointed; and\n(ii) a director who is not a public director is to be elected.\n(2)\n(a) The plan for the appointment of public directors specified in Subsection (1) shall assure true public representation on the board.\n(b) A person appointed as a public director shall have insurance business or other business or professional experience that qualifies that person to serve responsibly and impartially as a director.\n(c) A public director may be an uncompensated member of the board of directors.\n(d) Notwithstanding Subsection (2)(c), a public director shall meet the qualifications of Subsection (2)(b).\n(3)\n(a) A director who is not a public director shall be elected by:\n(i) the policyholders; or\n(ii) voting members.\n(b) If the directors who are not public directors are divided into classes, one class shall be elected:\n(i) at least every four years; and\n(ii) for a term not exceeding six years.\n(4) A director may be removed from office for cause by an affirmative vote of a majority of the full board at a meeting of the board called for that purpose.\n(5) Subject to Subsections (1) through (4), Section 16-6a-810 applies to vacancies on the governing board.","path":["Title 31A Insurance Code","Chapter 31A-5 Domestic Stock and Mutual Insurance Corporations","Part 31A-5-4 Management of Insurance Corporations"],"source_url":"https://le.utah.gov/xcode/Title31A/Chapter5/31A-5-S409.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"f5e3ab836cbeb7d7e279a4fa0589df61ae94fbaa03e0f10c90a474928c67f70b","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-31a-5-408","next":"us-ut/utah-code-31a-5-410"},"notice":"GroundRules: Original legal text.
