{"data":{"id":"us-ut/utah-code-48-1d-903","jurisdiction":"us-ut","citation":"Utah Code § 48-1d-903","heading":"Rescinding dissolution.","body":"(1) A partnership may rescind the partnership's dissolution, unless a statement of termination applicable to the partnership is effective or the court has entered an order under Subsection 48-1d-901(4) or (5) dissolving the partnership.\n(2) Rescinding dissolution under this section requires:\n(a) the affirmative vote or consent of each partner;\n(b) if a statement of dissolution applicable to the partnership has been filed by the division but has not become effective, delivery to the division for filing of a statement of withdrawal under Section 48-1d-114 applicable to the statement of dissolution; and\n(c) if a statement of dissolution applicable to the partnership is effective, the delivery to the division for filing of a statement of correction under Section 48-1d-115 stating that dissolution has been rescinded under this section.\n(3) If a partnership rescinds the partnership's dissolution:\n(a) the partnership resumes carrying on its activities and affairs as if dissolution had never occurred;\n(b) subject to Subsection (3)(c), any liability incurred by the partnership after the dissolution and before the rescission is effective is determined as if dissolution had never occurred; and\n(c) the rights of a third party arising out of conduct in reliance on the dissolution before the third party knew or had notice of the rescission may not be adversely affected.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-1d Utah Uniform Partnership Act","Part 48-1d-9 Dissolution and Winding Up"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter1d/48-1d-S903.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"3f869ab5925bb69d06d33d04c11acbe7ce5f14fc90c056cce5b06f29bc1c41d7","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-1d-902","next":"us-ut/utah-code-48-1d-904"},"notice":"GroundRules: Original legal text.
