{"data":{"id":"us-ut/utah-code-48-1d-904","jurisdiction":"us-ut","citation":"Utah Code § 48-1d-904","heading":"Power to bind partnership after dissolution.","body":"(1) A partnership is bound by a partner's act after dissolution which:\n(a) is appropriate for winding up the partnership's activities and affairs; or\n(b) would have bound the partnership under Section 48-1d-301 before dissolution, if, at the time the other party enters into the transaction, the other party does not know or have notice of the dissolution.\n(2) A person dissociated as a partner binds a partnership through an act occurring after dissolution if at the time the other party enters into the transaction:\n(a) less than two years has passed since the dissociation;\n(b) the other party does not have notice of the dissociation and reasonably believes that the person is a partner; and\n(c) the act:\n(i) is appropriate for winding up the partnership's activities and affairs; or\n(ii) would have bound the partnership under Section 48-1d-301 before dissolution, and at the time the other party enters into the transaction the other party does not know or have notice of the dissolution.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-1d Utah Uniform Partnership Act","Part 48-1d-9 Dissolution and Winding Up"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter1d/48-1d-S904.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"d23a66d187bf10fc066df3868cead68e000f615dd7dc2e44a80d116227943368","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-1d-903","next":"us-ut/utah-code-48-1d-905"},"notice":"GroundRules: Original legal text.
