{"data":{"id":"us-ut/utah-code-48-1d-905","jurisdiction":"us-ut","citation":"Utah Code § 48-1d-905","heading":"Liability after dissolution.","body":"(1) If a partner having knowledge of the dissolution causes a partnership to incur an obligation under Subsection 48-1d-904(1) by an act that is not appropriate for winding up the partnership's activities and affairs, the partner is liable:\n(a) to the partnership for any damage caused to the partnership arising from the obligation; and\n(b) if another partner or person dissociated as a partner is liable for the obligation, to that other partner or person for any damage caused to that other partner or person arising from the liability.\n(2) If a person dissociated as a partner causes a partnership to incur an obligation under Subsection 48-1d-904(2), the person is liable:\n(a) to the partnership for any damage caused to the partnership arising from the obligation; and\n(b) if a partner or another person dissociated as a partner is liable for the obligation, to the partner or other person for any damage caused to the partner or other person arising from the obligation.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-1d Utah Uniform Partnership Act","Part 48-1d-9 Dissolution and Winding Up"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter1d/48-1d-S905.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"4886cfadab8627faba4d01e3a3406565decc3506f8400a20479cd9b7a77e972c","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-1d-904","next":"us-ut/utah-code-48-1d-906"},"notice":"GroundRules: Original legal text.
