{"data":{"id":"us-ut/utah-code-48-2e-1152","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-1152","heading":"Plan of domestication.","body":"(1) A domestic limited partnership may become a foreign limited partnership in a domestication by approving a plan of domestication. The plan must be in a record and contain:\n(a) the name of the domesticating limited partnership;\n(b) the name and jurisdiction of formation of the domesticated limited partnership;\n(c) the manner of converting the interests in the domesticating limited partnership into interests, securities, obligations, money, other property, rights to acquire interests or securities, or any combination of the foregoing;\n(d) the proposed certificate of limited partnership of the domesticated limited partnership;\n(e) the full text of the partnership agreement of the domesticated limited partnership rights to acquire interests or securities, that are proposed to be in a record;\n(f) the other terms and conditions of the domestication; and\n(g) any other provision required by the law of this state or the partnership agreement of the domesticating limited partnership.\n(2) In addition to the requirements of Subsection (1), a plan of domestication may contain any other provision not prohibited by law.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-11 Merger, Interest Exchange, Conversion, and Domestication"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S1152.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"52fbeead58a0b749a289de6f7292b010ecc4ae6bb83ebd58fd9969f598495fce","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-1151","next":"us-ut/utah-code-48-2e-1153"},"notice":"GroundRules: Original legal text.
