{"data":{"id":"us-ut/utah-code-48-2e-201","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-201","heading":"Formation of limited partnership -- Certificate of limited partnership.","body":"(1) To form a limited partnership, a person must deliver a certificate of limited partnership to the division for filing.\n(2) The certificate of limited partnership must state:\n(a) the name of the limited partnership, which must comply with Section 48-2e-108;\n(b) the street and mailing address of the limited partnership's principal office;\n(c) the information required by Subsection 16-17-203(1);\n(d) the name and the street and mailing addresses of each general partner; and\n(e) whether the limited partnership is a limited liability limited partnership.\n(3) A certificate of limited partnership may contain statements as to matters other than those required by Subsection (2), but may not vary or otherwise affect the provisions specified in Subsection 48-2e-112(3) in a manner inconsistent with that Subsection (2).\n(4) A limited partnership is formed when:\n(a) the certificate of limited partnership has become effective;\n(b) at least two persons have become partners;\n(c) at least one person has become a general partner; and\n(d) at least one person has become a limited partner.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-2 Formation -- Certificate of Limited Partnership and Other Filings"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S201.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"366b2a3f2c2a47c3307ad2b9abbb7606c2d8a369443c7171e99e6af95d467d00","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-118","next":"us-ut/utah-code-48-2e-202"},"notice":"GroundRules: Original legal text.
