{"data":{"id":"us-ut/utah-code-48-2e-202","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-202","heading":"Amendment of restatement of certificate of limited partnership.","body":"(1) A certificate of limited partnership may be amended or restated at any time.\n(2) To amend its certificate of limited partnership, a limited partnership must deliver to the division for filing an amendment stating:\n(a) the name of the limited partnership;\n(b) the date of filing of its initial certificate of limited partnership; and\n(c) the changes the amendment makes to the certificate of limited partnership as most recently amended or restated.\n(3) To restate its certificate of limited partnership, a limited partnership must deliver to the division for filing a restatement designated as such in its heading.\n(4) A limited partnership shall promptly deliver to the division for filing an amendment to a certificate of limited partnership to reflect:\n(a) the admission of a new general partner;\n(b) the dissociation of a person as a general partner; or\n(c) the appointment of a person to wind up the limited partnership's activities and affairs under Subsection 48-2e-802(3) or (4).\n(5) If a general partner knows that any information in a filed certificate of limited partnership was inaccurate when the certificate of limited partnership was filed or has become inaccurate due to changed circumstances, the general partner shall promptly:\n(a) cause the certificate of limited partnership to be amended; or\n(b) if appropriate, deliver to the division for filing a statement of change under Section 16-17-206 or a statement of correction under Section 48-2e-208.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-2 Formation -- Certificate of Limited Partnership and Other Filings"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S202.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"e942ba88b91682dda43fec202a21c0756bf55a3da9b87304f537475771499500","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-201","next":"us-ut/utah-code-48-2e-203"},"notice":"GroundRules: Original legal text.
