{"data":{"id":"us-ut/utah-code-48-2e-301","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-301","heading":"Becoming limited partners.","body":"(1) Upon formation of a limited partnership, a person becomes a limited partner as agreed among the persons that are to be the initial partners.\n(2) After formation, a person becomes a limited partner:\n(a) as provided in the partnership agreement;\n(b) as the result of a transaction effective under Part 11, Merger, Interest Exchange, Conversion, and Domestication;\n(c) with the affirmative vote or consent of all the partners; or\n(d) as provided in Subsection 48-2e-801(1)(d) or (1)(e).\n(3) A person may become a partner without:\n(a) acquiring a transferable interest; or\n(b) making or being obligated to make a contribution to the limited partnership.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-3 Limited Partners"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S301.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"dea73ad35edf442411061fb12526c1f391475dba49c1f8b257c830843ed24cb0","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-212","next":"us-ut/utah-code-48-2e-302"},"notice":"GroundRules: Original legal text.
