{"data":{"id":"us-ut/utah-code-48-2e-602","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-602","heading":"Effect of dissociation as limited partner.","body":"(1) If a person is dissociated as a limited partner:\n(a) subject to Section 48-2e-704, the person does not have further rights as a limited partner;\n(b) the person's contractual obligation of good faith and fair dealing as a limited partner under Subsection 48-2e-305(1) ends with regard to matters arising and events occurring after the person's dissociation; and\n(c) subject to Section 48-2e-704 and Part 11, Merger, Interest Exchange, Conversion, and Domestication, any transferable interest owned by the person in the person's capacity as a limited partner immediately before dissociation is owned by the person solely as a transferee.\n(2) A person's dissociation as a limited partner does not of itself discharge the person from any debt, obligation, or other liability to the limited partnership or the other partners which the person incurred while a limited partner.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-6 Dissociation"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S602.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"5b7af008eb37755f4a7392f4c82b43857dc73aeb7187dbb24de7f0a800009c13","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-601","next":"us-ut/utah-code-48-2e-603"},"notice":"GroundRules: Original legal text.
