{"data":{"id":"us-ut/utah-code-48-2e-804","jurisdiction":"us-ut","citation":"Utah Code § 48-2e-804","heading":"Power to bind partnership after dissolution.","body":"(1) A limited partnership is bound by a general partner's act after dissolution which:\n(a) is appropriate for winding up the limited partnership's activities and affairs; or\n(b) would have bound the limited partnership under Section 48-2e-402 before dissolution, if, at the time the other party enters into the transaction, the other party does not know or have notice of the dissolution.\n(2) A person dissociated as a general partner binds a limited partnership through an act occurring after dissolution if:\n(a) at the time the other party enters into the transaction:\n(i) less than two years has passed since the dissociation; and\n(ii) the other party does not have notice of the dissociation and reasonably believes that the person is a general partner; and\n(b) the act:\n(i) is appropriate for winding up the limited partnership's activities and affairs; or\n(ii) would have bound the limited partnership under Section 48-2e-402 before dissolution and at the time the other party enters into the transaction the other party does not have notice of the dissolution.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-2e Utah Uniform Limited Partnership Act","Part 48-2e-8 Dissolution and Winding up"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter2e/48-2e-S804.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"54be03ee1225c6c28aacae24c69ee40057d3d3706beeec6993fa058b0f7d81f4","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-2e-803","next":"us-ut/utah-code-48-2e-805"},"notice":"GroundRules: Original legal text.
