{"data":{"id":"us-ut/utah-code-48-3a-202","jurisdiction":"us-ut","citation":"Utah Code § 48-3a-202","heading":"Amendment or restatement of certificate of organization.","body":"(1) A certificate of organization may be amended or restated at any time, except that in accordance with Section 48-3a-1303, a low-profit limited liability company shall amend its certificate of organization if the limited liability company ceases to be a low-profit limited liability company.\n(2) To amend its certificate of organization, a limited liability company must deliver to the division for filing an amendment stating:\n(a) the name of the limited liability company;\n(b) the date of filing of its initial certificate of organization; and\n(c) the changes the amendment makes to the certificate as most recently amended or restated.\n(3) To restate its certificate of organization, a limited liability company must deliver to the division for filing a restatement designated as such in its heading.\n(4) If a member of a member-managed limited liability company, or a manager of a manager-managed limited liability company, knows that any information in a filed certificate of organization was inaccurate when the certificate was filed or has become inaccurate due to changed circumstances, the member or manager shall promptly:\n(a) cause the certificate to be amended; or\n(b) if appropriate, deliver to the division for filing a statement of change under Section 16-17-206 or a statement of correction under Section 48-3a-208.","path":["Title 48 Unincorporated Business Entity Act","Chapter 48-3a Utah Revised Uniform Limited Liability Company Act","Part 48-3a-2 Formation -- Certificate of Organization and Other Filings"],"source_url":"https://le.utah.gov/xcode/Title48/Chapter3a/48-3a-S202.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"3512f11c7eac161367d8174aa9da5fac5abc60efcee4faad67a3cd2e1611ee08","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-48-3a-201","next":"us-ut/utah-code-48-3a-203"},"notice":"GroundRules: Original legal text.
