{"data":{"id":"us-ut/utah-code-6-2-115","jurisdiction":"us-ut","citation":"Utah Code § 6-2-115","heading":"Claim subordination.","body":"(1) A subordination agreement is enforceable under this chapter to the same extent the agreement is enforceable under other law.\n(2) Subject to Subsection (3), the following claims are subordinate to a claim or interest that is senior or equal in priority to a claim or interest represented by a security or other equity interest in the assignor or an affiliate of the assignor:\n(a) a claim arising from rescission of a purchase or sale of the security or other equity interest;\n(b) a claim for damages arising from the purchase or sale of the security or other equity interest; and\n(c) a claim for reimbursement or contribution allowed on account of the rescission or damage claim.\n(3) If the security is common stock or another common equity interest, a claim subject to subordination under Subsection (2) has the same priority as common stock or another common equity interest.","path":["Title 6 Assignment for Benefit of Creditors","Chapter 6-2 Uniform Assignment for Benefit of Creditors"],"source_url":"https://le.utah.gov/xcode/Title6/Chapter2/6-2-S115.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"9e7211c5f2b7f94f74cfa62a7e7f6729f260e12de965f1b02c9535b218e68676","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-6-2-114","next":"us-ut/utah-code-6-2-116"},"notice":"GroundRules: Original legal text.
