{"data":{"id":"us-ut/utah-code-63e-2-106","jurisdiction":"us-ut","citation":"Utah Code § 63E-2-106","heading":"Powers.","body":"Except as specifically modified in its authorizing statute, each independent corporation shall have the power to:\n(1) exist as a:\n(a) public corporation; or\n(b) quasi-public corporation;\n(2) perform its stated public purpose;\n(3) sue and be sued in its own name;\n(4) retain and be represented by legal counsel independent of the attorney general;\n(5) create foundations or subsidiaries;\n(6) act in accordance with all other powers granted in its authorizing statute and by duly issued license or franchise;\n(7) act in all ways as a nonprofit corporation established under Title 16, Chapter 6a, Utah Revised Nonprofit Corporation Act, that do not conflict with:\n(a) this title;\n(b) the authorizing statute of the independent corporation; or\n(c) statutes and regulations to which the independent corporation is subject.","path":["Title 63E Independent Entities Code","Chapter 63E-2 Independent Corporations Act"],"source_url":"https://le.utah.gov/xcode/Title63E/Chapter2/63E-2-S106.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:33Z","sha256":"58e78d18ad7ae608544389ead14b5055d867a9066540ef1a30710214045b2051","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-63e-2-105","next":"us-ut/utah-code-63e-2-107"},"notice":"GroundRules: Original legal text.
