{"data":{"id":"us-ut/utah-code-70a-8-208","jurisdiction":"us-ut","citation":"Utah Code § 70A-8-208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent.","body":"(1) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(a) the certificate is genuine;\n(b) the person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n(c) the person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(2) Unless otherwise agreed, a person signing under Subsection (1) does not assume responsibility for the validity of the security in other respects.","path":["Title 70A Uniform Commercial Code","Chapter 70A-8 Uniform Commercial Code - Investment Securities","Part 70A-8-2 Issue and Issuer"],"source_url":"https://le.utah.gov/xcode/Title70A/Chapter8/70A-8-S208.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:34Z","sha256":"654405170272c339db7f4e153ba1454f7b774756539bfc772ead9157fdb1bb40","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-70a-8-207","next":"us-ut/utah-code-70a-8-209"},"notice":"GroundRules: Original legal text.
