{"data":{"id":"us-ut/utah-code-70a-8-301","jurisdiction":"us-ut","citation":"Utah Code § 70A-8-301","heading":"Delivery.","body":"(1) Delivery of a certificated security to a purchaser occurs when:\n(a) the purchaser acquires possession of the security certificate;\n(b) another person, other than a securities intermediary, either acquires possession of the security certificate on behalf of the purchaser or, having previously acquired possession of the certificate, acknowledges that it holds for the purchaser; or\n(c) a securities intermediary acting on behalf of the purchaser acquires possession of the security certificate, only if the certificate is in registered form and is:\n(i) registered in the name of the purchaser;\n(ii) payable to the order of the purchaser; or\n(iii) specially indorsed to the purchaser by an effective indorsement and has not been indorsed to the securities intermediary or in blank.\n(2) Delivery of an uncertificated security to a purchaser occurs when:\n(a) the issuer registers the purchaser as the registered owner, upon original issue or registration of transfer; or\n(b) another person, other than a securities intermediary, either becomes the registered owner of the uncertificated security on behalf of the purchaser or, having previously become the registered owner, acknowledges that it holds for the purchaser.","path":["Title 70A Uniform Commercial Code","Chapter 70A-8 Uniform Commercial Code - Investment Securities","Part 70A-8-3 Transfer of Certificated and Uncertificated Securities"],"source_url":"https://le.utah.gov/xcode/Title70A/Chapter8/70A-8-S301.html","current_through":"2026 General Session","vintage":"","retrieved_at":"2026-09-03T11:34:34Z","sha256":"39b32a4ee040e75f227c17dc2066dfa5aac52757be0024f663957faabf6fc908","source_id":"us-ut","stale":false,"prev":"us-ut/utah-code-70a-8-210","next":"us-ut/utah-code-70a-8-302"},"notice":"GroundRules: Original legal text.
