A regional EMS council shall be organizationally independent of any other entity.\n\nB. A regional EMS council shall be governed by a board.\n\nC. Articles of incorporation and bylaws shall be in force that specify:\n\n1. Designated regional EMS council representation;\n\n2. Method of designated regional EMS council appointments and/or elections;\n\n3. Governing board representation;\n\n4. Method of governing board appointments and/or elections;\n\n5. Tenure of representatives;\n\n6. Officers, their roles, responsibilities and terms of office;\n\n7. Quorum requirements;\n\n8. Meeting attendance requirements and enforcement policies;\n\n9. Indemnification of officers and directors; and\n\n10. Dissolution of assets.\n\nD.
