{"data":{"id":"us-vt/11-v.s.a.-3421","jurisdiction":"us-vt","citation":"11 V.S.A. § 3421","heading":"Admission of limited partners","body":"(a) A person becomes a limited partner:\n(1) at the time the limited partnership is formed; or\n(2) at any later time specified in the records of the limited partnership for becoming a limited partner.\n(b) After the filing of a limited partnership’s original certificate of limited partnership, a person may be admitted as an additional limited partner:\n(1) in the case of a person acquiring a partnership interest directly from the limited partnership, upon compliance with the partnership agreement or, if the partnership agreement does not so provide, upon the written consent of all partners; and\n(2) in the case of an assignee of a partnership interest of a partner who has the power, as provided in section 3464 of this title, to grant the assignee the right to become a limited partner, upon the exercise of that power and compliance with any conditions limiting the grant or exercise of the power.","path":["Title 11: Corporations, Partnerships and Associations","Chapter 023: Limited Partnerships","Subchapter 003: LIMITED PARTNERS"],"source_url":"https://legislature.vermont.gov/statutes/section/11/023/03421","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:00:51Z","sha256":"75c051803e2c22be60b6e9458b0912564fd1b1176a2009d4c5c88bef8f8ce9a5","source_id":"us-vt","stale":false,"prev":"us-vt/11-v.s.a.-3420","next":"us-vt/11-v.s.a.-3422"},"notice":"GroundRules: Original legal text.
