{"data":{"id":"us-vt/11b-v.s.a.-15.03","jurisdiction":"us-vt","citation":"11B V.S.A. § 15.03","heading":"Application for certificate of authority","body":"(a) A foreign corporation may apply for a certificate of authority to transact business in this State by delivering an application to the Secretary of State. The application must set forth:\n(1) the name of the foreign corporation or, if its name is unavailable for use in this State, a corporate name that satisfies the requirements of section 15.06 of this title;\n(2) the name of the state or country under whose law it is incorporated;\n(3) the date of incorporation and period of duration;\n(4) the street address of its principal office;\n(5) the address of its registered office in this State and the name and email of its registered agent for service of process at that office;\n(6) the names and usual business or home addresses of its current directors and officers and of any other principals the corporation provides;\n(7) whether the foreign corporation has members; and\n(8) whether the corporation, if it had been incorporated in this State, would be a public benefit or mutual benefit corporation.\n(b) The foreign corporation shall deliver with the completed application a certificate of existence, or a document of similar import, duly authenticated by the Secretary of State or other official having custody of corporate records in the state or country under whose law it is incorporated.","path":["Title 11B: Nonprofit Corporations","Chapter 015: Foreign Corporations","Subchapter 001: CERTIFICATE OF AUTHORITY"],"source_url":"https://legislature.vermont.gov/statutes/fullchapter/11B/015","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:18:57Z","sha256":"4207ef0a6f5cda787130ef0ba71fc9428752d66942b44f689d4e75f4f584a56a","source_id":"us-vt","stale":false,"prev":"us-vt/11b-v.s.a.-15.02","next":"us-vt/11b-v.s.a.-15.04"},"notice":"GroundRules: Original legal text.
