{"data":{"id":"us-vt/11c-v.s.a.-1302","jurisdiction":"us-vt","citation":"11C V.S.A. § 1302","heading":"Proper plaintiff","body":"(a) A derivative action to enforce a right of a mutual benefit enterprise may be maintained only by a person that:\n(1) is a member or a dissociated member at the time the action is commenced and:\n(A) was a member when the conduct giving rise to the action occurred; or\n(B) whose status as a member devolved upon the person by operation of law or the organic rules from a person that was a member at the time of the conduct; and\n(2) adequately represents the interests of the enterprise.\n(b) If the sole plaintiff in a derivative action dies while the action is pending, the court may permit another member who meets the requirements of subsection (a) of this section to be substituted as plaintiff.","path":["Title 11C: Mutual Benefit Enterprises","Chapter 013: Action by Member"],"source_url":"https://legislature.vermont.gov/statutes/section/11C/013/01302","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:26:57Z","sha256":"282a82a08e58a70df3b6338da7486c5eb37b394910591775c1b883922150fb3c","source_id":"us-vt","stale":false,"prev":"us-vt/11c-v.s.a.-1301","next":"us-vt/11c-v.s.a.-1303"},"notice":"GroundRules: Original legal text.
