{"data":{"id":"us-vt/11c-v.s.a.-807","jurisdiction":"us-vt","citation":"11C V.S.A. § 807","heading":"Removal of director","body":"Unless the organic rules otherwise provide, the following rules apply:\n(1) Members may remove a director with or without cause.\n(2) A member or members holding at least 10 percent of the total voting power entitled to be voted in the election of a director may demand removal of the director by one or more signed petitions submitted to the officer of the mutual benefit enterprise charged with keeping its records.\n(3) Upon receipt of a petition for removal of a director, an officer of the enterprise or the board of directors shall:\n(A) call a special meeting of members to be held not later than 90 days after receipt of the petition by the enterprise; and\n(B) mail or otherwise transmit or deliver in a record to the members entitled to vote on the removal and to the director to be removed notice of the meeting which complies with section 508 of this title.\n(4) A director is removed if the votes in favor of removal are equal to or greater than the votes required to elect the director at the time of the vote.","path":["Title 11C: Mutual Benefit Enterprises","Chapter 008: Directors and Officers"],"source_url":"https://legislature.vermont.gov/statutes/section/11C/008/00807","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:24:27Z","sha256":"9e0eb3e0e66709ce51cc716160102980110ebfef2f513e5cca45cd614ffcd9ed","source_id":"us-vt","stale":false,"prev":"us-vt/11c-v.s.a.-806","next":"us-vt/11c-v.s.a.-808"},"notice":"GroundRules: Original legal text.
