{"data":{"id":"us-vt/11c-v.s.a.-809","jurisdiction":"us-vt","citation":"11C V.S.A. § 809","heading":"Vacancy on board","body":"(a) Unless the organic rules otherwise provide, a vacancy on the board of directors shall be filled:\n(1) notwithstanding subdivision 804(a)(2) and subsection 804(b) of this title, within a reasonable time by majority vote of the remaining directors until the next annual members’ meeting or a special meeting of members called to fill the vacancy; and\n(2) for the unexpired term by members at the next annual members’ meeting or a special meeting of members called to fill the vacancy.\n(b) Unless the organic rules otherwise provide, if a vacating director was elected or appointed by a class of members or a district:\n(1) the new director shall be of that class or district; and\n(2) the selection of the director for the unexpired term shall be conducted in the same manner as would the selection for that position without a vacancy.\n(c) If a member appointed a vacating director, the organic rules may provide for that member to appoint a director to fill the vacancy.","path":["Title 11C: Mutual Benefit Enterprises","Chapter 008: Directors and Officers"],"source_url":"https://legislature.vermont.gov/statutes/section/11C/008/00809","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:24:27Z","sha256":"e97d496ed937d2080c3eb30f832941ef1a6190511629e5c77bf9319a787bcf56","source_id":"us-vt","stale":false,"prev":"us-vt/11c-v.s.a.-808","next":"us-vt/11c-v.s.a.-810"},"notice":"GroundRules: Original legal text.
