{"data":{"id":"us-vt/11c-v.s.a.-817","jurisdiction":"us-vt","citation":"11C V.S.A. § 817","heading":"Committees","body":"(a) Unless the organic rules otherwise provide, a board of directors may create one or more committees and appoint one or more individuals to serve on a committee.\n(b) Unless the organic rules otherwise provide, an individual appointed to serve on a committee of a mutual benefit enterprise need not be a director or member.\n(c) An individual who is not a director and is serving on a committee has the same rights, duties, and obligations as a director serving on the committee.\n(d) Unless the organic rules otherwise provide, each committee of a mutual benefit enterprise may exercise the powers delegated to it by the board of directors, but a committee may not:\n(1) approve allocations or distributions except according to a formula or method prescribed by the board of directors;\n(2) approve or propose to members action requiring approval of members; or\n(3) fill vacancies on the board of directors or any of its committees.","path":["Title 11C: Mutual Benefit Enterprises","Chapter 008: Directors and Officers"],"source_url":"https://legislature.vermont.gov/statutes/section/11C/008/00817","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T16:24:27Z","sha256":"5503d9964e99dedc6197389d7d8ba6dbd9bdc7ae905eca36a7e7a9cca2373348","source_id":"us-vt","stale":false,"prev":"us-vt/11c-v.s.a.-816","next":"us-vt/11c-v.s.a.-818"},"notice":"GroundRules: Original legal text.
