{"data":{"id":"us-vt/9a-v.s.a.-8-208","jurisdiction":"us-vt","citation":"9A V.S.A. § 8—208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(1) the certificate is genuine;\n(2) the person’s own participation in the issue of the security is within the person’s capacity and within the scope of the authority received by the person from the issuer; and\n(3) the person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(b) Unless otherwise agreed, a person signing under subsection (a) of this section does not assume responsibility for the validity of the security in other respects.","path":["Title 9A: Uniform Commercial Code","Article 008: Investment Securities"],"source_url":"https://legislature.vermont.gov/statutes/fullchapter/09A/008","current_through":"2025 session","vintage":"","retrieved_at":"2026-09-05T14:56:51Z","sha256":"d3389ade3299c7b3d9f196b3b722894d6b218131de7d46d0fe3c792093543c3f","source_id":"us-vt","stale":false,"prev":"us-vt/9a-v.s.a.-8-207","next":"us-vt/9a-v.s.a.-8-209"},"notice":"GroundRules: Original legal text.
