{"data":{"id":"us-wa/rcw-23b.10.020","jurisdiction":"us-wa","citation":"RCW 23B.10.020","heading":"Amendment of articles of incorporation by board of directors.","body":"Unless the articles of incorporation provide otherwise, a corporation's board of directors may adopt one or more amendments to the corporation's articles of incorporation without shareholder approval:\n(1) If the corporation has only one class of shares outstanding, to provide, change, or eliminate any provision with respect to the par value of any class of shares;\n(2) To delete the names and addresses of the initial directors;\n(3) To delete the name and address of the initial registered agent or registered office, if a statement of change is on file with the secretary of state;\n(4) If the corporation has only one class of shares outstanding, solely to:\n(a) Effect a forward stock split of, or change the number of authorized shares of that class in proportion to a forward stock split of, or share dividend in, the corporation's outstanding shares; or\n(b) Effect a reverse stock split of the corporation's outstanding shares if the number of authorized shares of that class is proportionately reduced by the amendment;\n(5) To change the corporate name; or\n(6) To make any other change expressly permitted by this title to be made without shareholder approval.","path":["Title 23B","Chapter 23B.10"],"source_url":"https://app.leg.wa.gov/rcw/default.aspx?cite=23B.10.020","current_through":"July 15, 2026","vintage":"","retrieved_at":"2026-09-06T01:38:32Z","sha256":"96cbb98d8287a1213535471002b18231f92e50d63af94b24bbebef90bf87bd71","source_id":"us-wa","stale":false,"prev":"us-wa/rcw-23b.10.012","next":"us-wa/rcw-23b.10.030"},"notice":"GroundRules: Original legal text.
