{"data":{"id":"us-wa/rcw-62a.8-201","jurisdiction":"us-wa","citation":"RCW 62A.8-201","heading":"Issuer.","body":"(1) With respect to an obligation on or a defense to a security, an \"issuer\" includes a person that:\n(a) Places or authorizes the placing of its name on a security certificate, other than as authenticating trustee, registrar, transfer agent, or the like, to evidence a share, participation, or other interest in its property or in an enterprise, or to evidence its duty to perform an obligation represented by the certificate;\n(b) Creates a share, participation, or other interest in its property or in an enterprise, or undertakes an obligation, that is an uncertificated security;\n(c) Directly or indirectly creates a fractional interest in its rights or property, if the fractional interest is represented by a security certificate; or\n(d) Becomes responsible for, or in place of, another person described as an issuer in this section.\n(2) With respect to an obligation on or defense to a security, a guarantor is an issuer to the extent of its guaranty, whether or not its obligation is noted on a security certificate.\n(3) With respect to registration of a transfer, issuer means a person on whose behalf transfer books are maintained.","path":["Title 62A","Chapter 62A.8"],"source_url":"https://app.leg.wa.gov/rcw/default.aspx?cite=62A.8-201","current_through":"July 15, 2026","vintage":"","retrieved_at":"2026-09-06T03:39:20Z","sha256":"557e32cb866c3ee4d76b9c532b17fc712cd5e2f00f384d51714463c9c6d90e6d","source_id":"us-wa","stale":false,"prev":"us-wa/rcw-62a.8-116","next":"us-wa/rcw-62a.8-202"},"notice":"GroundRules: Original legal text.
