Stat. § 17-14-304","heading":"Execution of certificates.","body":"(a) Each certificate required by this article to be filed in the office of the secretary of state shall be executed in the following manner:\n(i) An original certificate of limited partnership shall be signed by all general partners;\n(ii) A certificate of amendment shall be signed by at least one (1) general partner and by each other general partner designated in the certificate as a new general partner; and\n(iii) A certificate of cancellation shall be signed by all general partners.\n(b) Any person may sign a certificate by an attorney-in-fact, but a power of attorney to sign a certificate relating to the admission of a general partner shall specifically describe the admission.\n(c) The execution of a certificate by a general partner constitutes an affirmation under the penalties of perjury that the facts stated therein are true.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 14 - LIMITED PARTNERSHIPS","ARTICLE 3 - FORMATION; CERTIFICATE OF LIMITED PARTNERSHIP"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"cd54f630a1dfe6b80603c8ee32ecd5739e49ee924310564154b5069b537cdbf4","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-14-303","next":"us-wy/wyo.-stat.-17-14-305"},"notice":"GroundRules: Original legal text.
