Stat. § 17-14-404","heading":"Person erroneously believing himself limited partner.","body":"(a) Except as provided in subsection (b) of this section, a person who makes a contribution to a business enterprise and erroneously but in good faith believes that he has become a limited partner in the enterprise is not a general partner in the enterprise and is not bound by its obligations by reason of making the contribution, receiving distributions from the enterprise, or exercising any rights of a limited partner, if, on ascertaining the mistake, he:\n(i) Causes an appropriate certificate of limited partnership or a certificate of amendment to be executed and filed; or\n(ii) Withdraws from future equity participation in the enterprise.\n(b) A person who makes a contribution of the kind described in subsection (a) of this section is liable as a general partner to any third party who transacts business with the enterprise:\n(i) Before the person withdraws and an appropriate certificate is filed to show withdrawal; or\n(ii) Before an appropriate certificate is filed to show that he is not a general partner, but in either case only if the third party actually believed in good faith that the person was a general partner at the time of the transaction.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 14 - LIMITED PARTNERSHIPS","ARTICLE 4 - LIMITED PARTNERS"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"961ecebcf16c6f5a4034e9e82a67b218607522f260f6ecdc059b703bbf7438ff","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-14-403","next":"us-wy/wyo.-stat.-17-14-405"},"notice":"GroundRules: Original legal text.
