Stat. § 17-14-901","heading":"Nonjudicial dissolution.","body":"(a) A limited partnership is dissolved and its affairs shall be wound up upon the happening of the first to occur of the following:\n(i) At the time specified in the certificate of limited partnership;\n(ii) Upon the happening of events specified in writing in the partnership agreement;\n(iii) Written consent of all partners;\n(iv) Repealed By Laws 1999, ch. 145, § 2.\n(v) Entry of a decree of judicial dissolution under W.S. 17-14-902;\n(vi) A vote to dissolve by all of the limited partners, or a number or percentage of limited partners specified in the partnership agreement, within ninety (90) days after an event of withdrawal of the last remaining general partner; or\n(vii) The failure of the limited partners to admit or appoint another general partner within ninety (90) days after an event of withdrawal of the last remaining general partner.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 14 - LIMITED PARTNERSHIPS","ARTICLE 9 - DISSOLUTION"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"c3830d25cd77d7ee69087c5a8ef1d20832d8bfd0125a3f32928da60c64a5ec1a","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-14-805","next":"us-wy/wyo.-stat.-17-14-902"},"notice":"GroundRules: Original legal text.
