Stat. § 17-16-1405","heading":"Effect of dissolution.","body":"(a) A dissolved corporation continues its corporate existence but may not carry on any business except that appropriate to wind up and liquidate its business and affairs, including:\n(i) Collecting its assets;\n(ii) Disposing of its properties that will not be distributed in kind to its shareholders;\n(iii) Discharging or making provision for discharging its liabilities;\n(iv) Distributing its remaining property among its shareholders according to their interests; and\n(v) Doing every other act necessary to wind up and liquidate its business and affairs.\n(b) Dissolution of a corporation does not:\n(i) Transfer title to the corporation's property;\n(ii) Prevent transfer of its shares or securities, although the authorization to dissolve may provide for closing the corporation's share transfer records;\n(iii) Subject its directors or officers to standards of conduct different from those prescribed in article 8;\n(iv) Change quorum or voting requirements for its board of directors or shareholders; change provisions for selection, resignation, or removal of its directors or officers or both; or change provisions for amending its bylaws;\n(v) Prevent commencement of a proceeding by or against the corporation in its corporate name;\n(vi) Abate or suspend a proceeding pending by or against the corporation on the effective date of dissolution; or\n(vii) Terminate the authority of the registered agent of the corporation.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 16 - WYOMING BUSINESS CORPORATION ACT","ARTICLE 14 - DISSOLUTION"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"d46d308ce71cebc1ef70349cf6e81d5f6db2f4465db73c7bbb7a66120bfde865","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-16-1404","next":"us-wy/wyo.-stat.-17-16-1406"},"notice":"GroundRules: Original legal text.
